slip: personally I'm sitting on my 2,333 + various (probably worthless) warrants and will wait for developments. It's an intriguing situation. Of course the prices quoted could be totally phony anyway as often happens with .ob stocks |

quote:American Banknote files for Chapter 11 a second time Thursday, January 20, 2005 ENGLEWOOD CLIFFS - American Banknote Corp., which makes checks and money orders, sought bankruptcy protection, the second such filing for the company in the past five years, in the face of bond payments due at month's end. The company listed $113 million in assets and $115.9 million in debts in papers filed today in U.S. Bankruptcy Court in Wilmington, Del. American Banknote's chief financial officer, Patrick Gentile, said in court papers that the company has been facing losses in part due to reduced demand in the United States for paper documents and "has been unable to generate sufficient cash flow" to pay its bond debt. The company filed an earlier Chapter 11 bankruptcy petition in December 1999 in New York State, eventually wiping out more than $100 million in debt in exchange for new notes and stock. American Banknote completed its first reorganization in October 2002. Among the company's current bond debt, according to Bloomberg data, are $56.5 million in 10.375 percent callable notes due Jan. 31. American Banknote says it traces its history to 1795 and Paul Revere as an early printer of U.S. currency. Chief Executive Officer Steven G. Singer didn't immediately return a call seeking further comment on the bankruptcy. Shares of the Englewood Cliffs-based company fell 5 cents to 13 cents in over-the-counter trading today in New York. - Bloomberg News

A restructuring is in the cards. Does the fact that the company is buying back some debt at around 66 cents on the dollar give any clue on the value to common shareholders? I think there is a fifty fifty chance of having something at the end of this for common shareholders. I would think the debtholders would have more to get by working with the company instead of overpriced bankruptcy lawyers trimming the carcass that debtholders want to pick. I suspect similar to the last round you will get diluted about 10 to one, but if the debt is extinguished, that might be OK. Wish TC were here for this one. With the debt being bought in at 66 cents, that leads me to believe that the value the debtholders will recieve is more than that if they stick it out, but the time involved will erode that value if it has to go through a bankruptcy process. |

jfh, Yes, I see , but of what interest is this information? I think the company is headed toward a second restructuring. The stock is almost worthless, 10 million shares at under .30 is 3 million stock market value and the debt is 100 Million, and matures soon. A voluntary restructuring or bankruptcy restructuring is in the cards. It might be interesting to see if there is some way to make a dime during the restructuring, but I don't think you'll see that until the debt matures. PS do you know where the debt trades? I would guess 50 cents on the dollar, making the enterprise value 53 million or so. And further, do you have any idea what the company would be worth if debt free, or if liquidated? So many questions and so few answers. Where is TC when you need him? I think he would know how to estimate these values. |

Gee, I tried a search of SEC on "American Banknote" and came up with some pretty weird stuff! http://www.sec.gov/cgi-bin/browse-edgar?company=American+Banknote&CIK=&filenum=& State=&SIC=&owner=include&action=getcompany |

I think the "E" signifies a late required filing with the SEC. What is the company name? Sounds like that might a more permanent identifier than the symbol. |
